TERMS OF SERVICE

1. AGREEMENT OVERVIEW
This Terms of Service Agreement (“Agreement”) is between you or the entity you represent (“You,” “Your,” or “Customer”) and MenuManager.in, operated by MenuManager, governing your use of the MenuManager QR-based restaurant ordering system and related services.

In the event of a conflict between General Terms and Service-Specific Terms, the Service-Specific Terms shall prevail.
1.2 Acceptance of Agreement
You must be of legal age to enter into a binding agreement to accept these Terms. By creating an account, accessing our Services, or clicking “I Accept,” you agree to be bound by this Agreement. If you do not agree to these Terms, do not use our Services.
2. SERVICE DESCRIPTION
2.1 Our Services
MenuManager provides a cloud-based digital menu and ordering system for restaurants, including:
• QR code-based ordering system • Real-time menu management and updates • Kitchen integration and order management • Payment processing integration • Analytics and reporting dashboards • WhatsApp billing capabilities • Waiter ordering interface • Mobile and web-based applications
2.2 Service Access
You can access the Services through:
• Web browser at https://app.menumanager.in
• Any Internet-enabled device with supported browsers
You are responsible for obtaining Internet access and the equipment necessary to use the Services.
3. ACCOUNT REGISTRATION & OBLIGATIONS
3.1 Account Creation
To use MenuManager, you must: • Provide accurate, complete, and current information during registration • Use a valid business email address • Maintain and promptly update your account information • Be authorized to represent the restaurant/business you register
3.2 Account Security
You are responsible for:
• Maintaining confidentiality of your login credentials
• All activities occurring under your account
• Immediately notifying us of unauthorised access at support@menumanager.in or via WhatsApp at +91 7550091864
We are not liable for losses from unauthorised account use.
3.3 Administrator Rights
If you designate administrators for your account: • Administrators can configure Services and manage users • You remain responsible for all administrator actions • You must appoint competent individuals as administrators • All activities must comply with this Agreement
4. FREE TRIAL & SUBSCRIPTION PLANS
4.1 14-Day Free Trial
We offer a 14-day free trial with: • No credit card required for trial activation • Full access to all features during trial period • Automatic trial termination after 14 days unless you subscribe • DATA ENTERED DURING TRIAL WILL BE PERMANENTLY DELETED UNLESS YOU SUBSCRIBE TO A PAID PLAN BEFORE TRIAL EXPIRATION
Services are offered “as-is” during the free trial, without warranty, covenant, support or liability whatsoever, to the extent permitted by law.
4.2 Paid Subscription
MONTHLY PLAN: Rs. 999/month (*Changes apply)
Includes: • Unlimited QR codes • Real-time menu updates • Kitchen integration • Analytics & insights • WhatsApp billing • Waiter ordering • Phone support
4.3 Payment Terms & Billing
SUBSCRIPTION PAYMENTS: • Monthly subscription fees are billed in advance • Payments accepted via Credit Card, Debit Card, UPI, Net Banking, and digital wallets • Subscription automatically renews at the end of each billing cycle • You must cancel at least 7 days before renewal date to avoid next billing • Subscription fee will be charged to your last payment method on file • All prices are in Indian Rupees (Rs.)
PAYMENT AUTHORIZATION: • By providing payment information, you authorise us to charge subscription fees • You authorise automatic renewal charges unless cancelled • You must maintain valid payment information • Failed payments may result in service suspension
TAXES: • All fees are exclusive of applicable taxes • GST, VAT, and other taxes will be added as required by law • You are responsible for paying all applicable taxes • Tax invoices provided in the prescribed format for input tax credit claims
PRICE CHANGES: • We may change subscription prices with 30 days’ advance notice • Price increases apply from your next billing cycle • Continued use after price change constitutes acceptance • No charges for currently free features without notification
REFUND POLICY:
• NO REFUNDS FOR VOLUNTARY MID-CYCLE CANCELLATIONS • Pro-rated refunds provided only if we breach this Agreement • Refunds processed within 7-14 business days of approval • Free trial users not eligible for refunds • Service credits may be offered at our discretion • Contact support@menumanager.in for refund requests
5. ACCEPTABLE USE & RESTRICTIONS
5.1 Permitted Use
You may use MenuManager Services to: • Manage your restaurant’s digital menu • Process customer orders • Integrate with your kitchen operations • Generate business analytics and reports • Communicate with customers via integrated channels
5.2 Prohibited Activities
You shall NOT: • Transfer, resell, or sublicense Services to third parties without written permission • Provide any service based on our Services without authorization • Share user licenses among multiple individuals (except by reassigning to new users) • Reverse engineer, decompile, or disassemble the Services • Attempt to gain unauthorized access to Services or related systems • Use Services in any manner that could damage, disable, or overburden our infrastructure • Upload or transmit viruses, malware, worms, or harmful code • Interfere with Service integrity, security, or performance • Use Services to violate any applicable laws or regulations • Use Services for competitive or benchmarking purposes • Remove or obscure proprietary notices from the Services • Create false identity or mislead others about your identity • Use Services for spamming, phishing, chain letters, or unsolicited mass emails • Transmit unlawful, defamatory, harassing, libelous, threatening, harmful, vulgar, pornographic, obscene, or objectionable content • Transmit content that offends religious sentiments or promotes racism • Violate or infringe intellectual property rights of others • Use Services in ways that threaten India’s unity, integrity, defence, security, sovereignty, or public order • Transmit patently false information with intent to mislead or harass • Use Services to facilitate illegal activities or encourage criminal offenses
5.3 Restaurant Content Responsibility
You are solely responsible for: • Accuracy of menu items, prices, and descriptions • Food safety and quality compliance • Allergen information and dietary warnings • Proper licensing for alcohol sales (if applicable) • Compliance with local food service regulations and health codes • Truth in advertising and consumer protection laws
6. PAYMENT PROCESSING & CUSTOMER TRANSACTIONS
6.1 Payment Processing Integration
MenuManager facilitates payment processing for customer orders through integrated payment gateways. By enabling payment features:
YOUR RESPONSIBILITIES: • You authorise us to facilitate payments on your behalf • You must maintain valid bank account information for settlements • You are responsible for customer payment disputes and chargebacks • You must maintain adequate funds to cover potential refunds and chargebacks • You must comply with all payment card industry (PCI) standards as applicable
OUR PROCESSING: • Customer payments are processed through secure payment gateways • We may hold funds temporarily for verification and fraud prevention • Settlement to your bank account typically within 2-3 business days • We may delay or reject suspicious transactions • We reserve the right to suspend payment processing for suspected fraud or violations
6.2 Transaction Fees
PAYMENT GATEWAY FEES: • Payment processing fees apply to all customer transactions • Fees are based on transaction value and payment method • All applicable fees disclosed before activation • Fees automatically deducted from settlements • Fee structure may change with 30 days’ notice
CHARGEBACKS AND DISPUTES: • You are responsible for all chargeback fees • Excessive chargebacks may result in account suspension • You must respond to payment disputes within specified timeframes • We may withhold settlements during dispute resolution
6.3 Customer Refunds
REFUND PROCESSING: • You are solely responsible for handling customer refund requests • Refunds must comply with consumer protection laws • You must maintain an adequate balance for processing refunds • We may process refunds on your behalf from your settlement balance • Refund disputes are between you and your customers
REFUND POLICIES: • You must clearly display your restaurant’s refund policy • You must honour legitimate refund requests per applicable laws • Failure to process valid refunds may result in service suspension
6.4 Financial Compliance
You agree to: • Maintain all required business licenses and permits • Comply with anti-money laundering (AML) regulations • Report all income and transactions to tax authorities • Provide requested documentation for verification • Notify us immediately of any suspected fraud or security breach
7. DATA OWNERSHIP & PRIVACY
7.1 Your Data Ownership
You retain full ownership of all data you create or upload: • Menu items, pricing, and descriptions • Customer orders and transaction data • Business analytics and reports • Restaurant information and branding • Customer contact information collected through Services
7.2 Our Use of Your Data
We access your data only to: • Provide and maintain the Services • Improve Service features and functionality • Troubleshoot technical issues and provide support • Generate anonymised analytics for service improvements • Comply with legal obligations and court orders • Prevent fraud and enforce this Agreement
WE WILL NOT: • Sell your data to third parties • Use your data for competing services • Share identifiable customer data without your consent or legal requirement • Access your data except as necessary for service delivery
7.3 License to Use Your Content
By using Services, you grant us a limited, non-exclusive license to: • Display your menu content through our platform • Store and transmit your content to provide Services • Create backup copies of your content • Publicly perform and display content as necessary for Service delivery
This license terminates when you delete content or terminate your account.
7.4 Privacy Policy
Data collection, use, and protection are governed by our Privacy Policy, incorporated by reference. By using Services, you accept our privacy practices.
7.5 Data Security
OUR SECURITY MEASURES: • Industry-standard encryption for data transmission • Secure servers and infrastructure • Regular security audits and updates • Access controls and authentication • Incident response procedures
SECURITY LIMITATIONS: • We cannot guarantee absolute security • You are responsible for maintaining secure passwords • You must implement appropriate access controls • Notify us immediately of suspected security breaches
7.6 Data Location & Hosting
• Data is stored on secure cloud servers in India or other locations • Data may be transferred across borders for service delivery • We may change hosting locations with reasonable notice • You consent to international data transfers as necessary
8. THIRD-PARTY INTEGRATIONS
8.1 Third-Party Services
MenuManager integrates with third-party services including: • Payment gateways and processors • WhatsApp Business API • Kitchen display systems • SMS and notification services • Accounting and POS software (where applicable)
8.2 Third-Party Terms
YOUR RESPONSIBILITIES: • Reading and accepting third-party terms of service • Complying with third-party usage requirements • Paying any fees charged directly by third parties • Maintaining accounts and access with third parties
THIRD-PARTY ACCESS: • You authorise us to access third-party services on your behalf • You grant necessary permissions for integration functionality • You may revoke third-party access at any time through your account
8.3 Third-Party Liability
WE ARE NOT LIABLE FOR: • Third-party service failures, downtime, or interruptions • Data breaches or security issues by third-party providers • Changes to third-party pricing, features, or terms • Termination or modification of third-party integrations • Accuracy or reliability of third-party services • Loss of data due to third-party actions
OUR RIGHTS: • We may suspend or remove third-party integrations at any time • We may update integration features without notice • We may terminate third-party relationships without liability • We are not responsible for third-party support or service
9. INTELLECTUAL PROPERTY
9.1 Our Intellectual Property
PROTECTED MATERIALS: • “MenuManager” name and logo • Service interface, design, and user experience • Software code, algorithms, and architecture • Documentation, tutorials, and help materials • Marketing materials and promotional content
YOUR RESTRICTIONS: • You may not use our trademarks without written permission • You may not copy, replicate, or imitate our Service design • You may not remove proprietary notices from Services • You may not create derivative works based on our Services
9.2 Your Content Rights
CONTENT OWNERSHIP: • You retain all ownership rights to content you create • We do not claim ownership of your menus, images, or descriptions • You are solely responsible for your content
REQUIRED RIGHTS: • You must own or have rights to all uploaded content • You must have permission to use any third-party content • You represent that your content doesn’t infringe third-party rights
9.3 User-Generated Content
YOUR CONTENT RESPONSIBILITIES: • Ensuring you have rights to all uploaded content • Obtaining licenses for copyrighted materials (images, music, etc.) • Respecting trademark rights in brand names and logos • Not infringing patents, copyrights, or trade secrets • Providing accurate attribution where required
COPYRIGHT COMPLAINTS: • We respond to valid copyright infringement notices • Report copyright violations to legal@menumanager.in • We may remove infringing content without notice • Repeat infringers may have accounts terminated
9.4 Feedback and Suggestions
If you provide feedback, suggestions, or ideas: • We may use them without compensation or attribution • You grant us unlimited, perpetual rights to implement feedback • We have no obligation to implement suggestions • Feedback does not create confidential relationship
10. SERVICE AVAILABILITY & SUPPORT
10.1 Service Uptime
AVAILABILITY COMMITMENT: • We strive for 99.5% service uptime • We do not guarantee uninterrupted or error-free service • Scheduled maintenance performed with advance notice when possible
SERVICE INTERRUPTIONS: • Routine maintenance and updates • Emergency security patches • Third-party service dependencies • Internet connectivity issues • Force majeure events
NO LIABILITY FOR: • Service downtime or interruptions • Data loss during outages • Business losses due to unavailability • Third-party service failures
10.2 Customer Support
INCLUDED SUPPORT (PAID PLANS): • Email support at support@menumanager.in • Phone support during business hours (Mon-Sat, 9 AM – 6 PM IST) • WhatsApp support at +91 7550091864 • Access to documentation and help center • Ticket-based support system
SUPPORT RESPONSE TIMES: • Critical issues: Response within 4 business hours • General inquiries: Response within 24 business hours • Non-critical requests: Response within 48 business hours
SUPPORT LIMITATIONS: • Support provided only for current software versions • No support for third-party integrations beyond basic troubleshooting • No support for free trial accounts beyond documentation • Support in English and Hindi only
10.3 Service Modifications
OUR RIGHTS: • Update or modify Services with reasonable notice • Add new features at any time • Remove or change features with 30 days’ notice • Discontinue Services with 90 days’ written notice • Change technical specifications and requirements
YOUR RIGHTS: • Export your data before discontinuation • Terminate account if you disagree with changes • Receive pro-rated refund for material adverse changes
10.4 Beta Features
BETA SERVICE TERMS: • We may offer beta features for testing and evaluation • Beta features provided “as-is” without warranties • We determine beta testing period and success • Beta features may be discontinued at any time • No obligation to convert beta to commercial features • Data created in beta may be lost if feature discontinued
11. DISCLAIMERS & LIMITATIONS OF LIABILITY
11.1 SERVICE PROVIDED “AS IS”
WARRANTY DISCLAIMER:
THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
• IMPLIED WARRANTIES OF MERCHANTABILITY • FITNESS FOR A PARTICULAR PURPOSE • NON-INFRINGEMENT • TITLE • QUIET ENJOYMENT • ACCURACY OR COMPLETENESS • RELIABILITY OR AVAILABILITY
NO GUARANTEES:
WE DO NOT WARRANT THAT: • Services will be uninterrupted, timely, secure, or error-free • Results from using Services will meet your requirements • Quality of Services will meet your expectations • Defects or errors will be corrected • Services are free from viruses, malware, or harmful components • Data transmission will be secure or encrypted • Integration with third-party services will function properly
USE AT YOUR OWN RISK: • You use Services at your sole risk and discretion • You are solely responsible for any damage to your systems • You are solely responsible for loss of data • Any material downloaded is at your own risk
11.2 LIMITATION OF LIABILITY
MAXIMUM LIABILITY CAP:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR ENTIRE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:
- Rs. 50,000 (Fifty Thousand Indian Rupees), OR
- The total fees paid by you to us in the 12 months immediately preceding the first event giving rise to liability
EXCLUDED DAMAGES:
WE SHALL NOT BE LIABLE FOR ANY: • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • LOSS OF PROFITS, REVENUE, OR INCOME • LOSS OF BUSINESS OPPORTUNITIES OR CONTRACTS • LOSS OF ANTICIPATED SAVINGS • LOSS OF BUSINESS, GOODWILL, OR REPUTATION • LOSS OF, DAMAGE TO, OR CORRUPTION OF DATA • BUSINESS INTERRUPTION OR DOWNTIME • COMPUTER FAILURE OR MALFUNCTION • COST OF SUBSTITUTE SERVICES • CLAIMS BY THIRD PARTIES
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ALLOCATION OF RISK: This limitation reflects the allocation of risk between the parties. The limitations will apply even if any limited remedy fails its essential purpose.
11.3 Exceptions to Limitations
The above limitations DO NOT apply to: • Death or personal injury caused by our gross negligence • Fraud or fraudulent misrepresentation by us • Willful misconduct or gross negligence by us • Violations of your data ownership rights • Our indemnification obligations to you • Liabilities that cannot be limited or excluded by applicable law
11.4 Basis of Bargain
You acknowledge that we have set our prices and entered into this Agreement in reliance upon the disclaimers of warranty and limitations of liability set forth herein, and that the same form an essential basis of the bargain between the parties.
12. INDEMNIFICATION
12.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless MenuManager, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors from and against any and all:
CLAIMS ARISING FROM: • Your use or misuse of the Services • Your violation of this Agreement • Your violation of any applicable laws or regulations • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights • Content you upload, transmit, or make available through Services • Customer disputes related to your restaurant operations • Food safety incidents, foodborne illnesses, or health code violations • Misrepresentation of menu items, prices, ingredients, or allergens • False or misleading advertising or promotions • Payment disputes, chargebacks, or refund claims • Your breach of representations and warranties • Negligence or willful misconduct by you or your employees
COVERED LOSSES INCLUDING: • Legal fees and attorneys’ costs • Court costs and litigation expenses • Settlement amounts and judgments • Regulatory fines and penalties • Damages awarded to third parties • Investigation and response costs
12.2 Indemnification Process
YOUR OBLIGATIONS: • Promptly notify us of any indemnifiable claim • Cooperate fully with the defence of the claim • Not settle claims without our prior written consent • Provide requested information and documentation
OUR RIGHTS: • Assume exclusive defence and control of any claim • Require your participation in defence at your expense • Settle claims in our sole discretion • Refuse to defend frivolous or non-covered claims
12.3 Our Indemnification
We will indemnify you against third-party claims that our Services infringe valid Indian intellectual property rights, provided you: • Promptly notify us of the claim • Give us sole control of defence and settlement • Provide reasonable cooperation
This indemnification does not apply if infringement results from: • Your modification of Services • Your combination of Services with third-party products • Your use of Services contrary to this Agreement • Your use after we notify you to stop due to infringement
13. TERM & TERMINATION
13.1 Agreement Term
This Agreement begins when you accept it and continues until terminated by either party in accordance with these terms.
13.2 Subscription Duration
MONTHLY SUBSCRIPTION: • Automatically renews each month unless cancelled • Continues until you cancel or we terminate • Billing occurs on same day each month
13.3 Your Termination Rights
VOLUNTARY CANCELLATION: • You may cancel subscription anytime • Cancel via email to support@menumanager.in • Cancel via WhatsApp support • Cancel through account settings (if available) • Cancellation effective at the end of the current billing period • No refunds for partial month usage
TERMINATION FOR OUR BREACH: • You may terminate if we materially breach this Agreement • You must provide written notice describing breach • We have 30 days to cure the breach • You receive pro-rated refund of prepaid fees if breach not cured
13.4 Our Termination Rights
IMMEDIATE TERMINATION: We may immediately suspend or terminate your account without notice if you: • Materially breach this Agreement • Engage in illegal activities using Services • Fail to pay subscription fees when due • Pose security or legal risk to us or other users • Violate acceptable use policies repeatedly • Engage in fraudulent activities • Provide false or misleading information • Abuse or harass our support staff
TERMINATION FOR CONVENIENCE: • We may terminate free trial accounts at any time • We may discontinue Services with 90 days’ written notice • We may terminate inactive accounts per Section 14
13.5 Effect of Termination
IMMEDIATE EFFECTS: • Access to Services immediately revoked • Your right to use Services terminates • All outstanding fees become immediately due and payable • We may retain your data for up to 30 days
DATA HANDLING: • You have 30 days to export your data • After 30 days, all data permanently deleted • No recovery possible after deletion • We are not obligated to maintain or return data
POST-TERMINATION OBLIGATIONS: • You must cease using our trademarks and branding • You must cease representing affiliation with us • You must pay all outstanding amounts • Confidentiality obligations continue • Indemnification obligations survive termination
13.6 Survival
The following sections survive termination: • Data Ownership (limited to exported data) • Intellectual Property • Disclaimers and Limitations of Liability • Indemnification • Governing Law and Dispute Resolution • Any accrued payment obligations
14. INACTIVE ACCOUNT POLICY
14.1 Definition of Inactive Account
An account is considered inactive if: • No login activity for 120 consecutive days • No orders processed for 120 consecutive days • No menu updates for 120 consecutive days
14.2 Termination Process
FOR INACTIVE ACCOUNTS: • We send email notice to registered email address • You have 120 days to reactivate or export data • Account automatically terminates after 120 days notice period • All data permanently deleted after termination
REACTIVATION: • Login before termination date to reactivate • Update account information to prevent future inactivity • Resume subscription payments if applicable
14.3 Data Deletion
• All account data permanently deleted after notice period • No recovery possible after deletion • No liability for deleted data from inactive accounts
14.4 Free vs. Paid Accounts
• Policy applies equally to free trial and paid accounts • Paid accounts with valid payment methods less likely to be deemed inactive • Activity in one Service does not affect inactivity in others
15. COMPLAINTS & GRIEVANCES
15.1 Customer Complaints About You
COMPLAINT FORWARDING: If we receive complaints from customers about your restaurant: • We forward complaint to your registered email address • You must respond directly to complainant within 10 days • You must copy MenuManager in your response • You are solely responsible for resolving customer disputes
FAILURE TO RESPOND: If you fail to respond within 10 days: • We may disclose your name and contact information to complainant • Complainant may pursue legal action directly against you • Your failure constitutes consent to disclosure • We are not liable for consequences of disclosure
YOUR RESPONSIBILITIES: • Address complaints promptly and professionally • Comply with consumer protection laws • Document complaint resolution • Take corrective actions to prevent recurring complaints
15.2 Complaints About MenuManager Services
GRIEVANCE REDRESSAL MECHANISM:
For grievances about MenuManager Services (as defined under Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021):

15.3 Copyright and Content Complaints
PROCEDURE FOR REPORTING ILLEGAL CONTENT OR INFRINGEMENT: • Email detailed complaint to legal@menumanager.in • Include URL or location of infringing content • Provide proof of ownership or authorization • Include your contact information • We investigate and respond per applicable law
16. GOVERNING LAW & JURISDICTION
16.1 Applicable Law
GOVERNING LAW: This Agreement is governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
REGULATORY COMPLIANCE: Services comply with: • Information Technology Act, 2000 • Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 • Personal Data Protection Bill (when enacted) • Consumer Protection Act, 2019 • Goods and Services Tax Act, 2017 • Payment and Settlement Systems Act, 2007 • Other applicable Indian laws and regulations
16.2 Jurisdiction
EXCLUSIVE JURISDICTION: • All disputes subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India • You irrevocably submit to the jurisdiction of these courts • You waive any objection to venue in these courts
16.3 Dispute Resolution
MANDATORY PRE-LITIGATION PROCESS:
Before filing any legal action, parties must:
- DIRECT NEGOTIATION (30 days): • Contact us at legal@menumanager.in describing dispute • We respond within 5 business days • Good-faith negotiation for 30 days • Document all communications
- MEDIATION (Optional): • If negotiation fails, either party may request mediation • Mutually agreed mediator in Chennai • Costs split equally between parties • Non-binding unless both parties agree
- ARBITRATION (Optional): • Disputes may be referred to arbitration by mutual consent • Single arbitrator appointed per Arbitration and Conciliation Act, 1996 • Seat of arbitration: Chennai, India • Language: English • Costs as determined by arbitrator
EXCEPTIONS: • Seeking preliminary injunctions or urgent interim relief • Enforcement of intellectual property rights • Collection of unpaid fees • Matters requiring immediate judicial intervention
16.4 Class Action Waiver
To the maximum extent permitted by law: • You waive right to participate in class action lawsuits • You waive right to bring claims as class representative • Disputes resolved on individual basis only • No consolidation with other claims or parties
17. MODIFICATIONS TO AGREEMENT
17.1 Right to Modify
We reserve the right to modify, update, or change this Agreement at any time in our sole discretion.
17.2 Notice of Changes
NOTIFICATION METHODS: • Email to your registered email address (minimum 30 days’ advance notice) • In-app notification in your account dashboard • Posted notice on website at menumanager.in • Banner notification upon login
TYPES OF CHANGES: • Material changes: 30 days’ advance notice • Minor or clarifying changes: May be effective immediately • Legal or regulatory compliance: Effective as required
17.3 Acceptance of Changes
DEEMED ACCEPTANCE: • Continued use of Services after notice period constitutes acceptance • If you log in or use Services after effective date, you accept changes • Payment of subscription fees after changes indicates acceptance
OBJECTION TO CHANGES: If you disagree with material changes: • You must notify us in writing within 30 days of notice • Email objection to legal@menumanager.in • Terminate your account before effective date • You receive pro-rated refund of unused prepaid fees
17.4 Historical Versions
• Current version always available at menumanager.in/terms-of-services • We maintain archive of previous versions • Effective date clearly indicated at top of Agreement • You may request copy of version in effect when you subscribed
18. GENERAL PROVISIONS
18.1 Entire Agreement
This Agreement, including Privacy Policy and referenced policies, constitutes the entire agreement between you and MenuManager regarding the Services and supersedes all prior: • Oral or written agreements • Proposals or representations • Communications or understandings • Marketing materials or statements
18.2 Severability
If any provision of this Agreement is found to be: • Invalid, illegal, or unenforceable by court of competent jurisdiction • Inconsistent with applicable law or regulation
Then: • That provision will be modified to minimum extent necessary to make it valid • If modification not possible, provision will be severed • Remaining provisions remain in full force and effect • Intent of parties preserved to maximum extent possible
18.3 No Waiver
WAIVER REQUIREMENTS: • Our failure to enforce any right or provision is not a waiver • Waiver of any breach does not waive subsequent breaches • Waiver must be in writing and signed by authorized representative • Single or partial exercise of right does not preclude further exercise
18.4 Assignment
YOUR RESTRICTIONS: • You may not assign, transfer, or delegate this Agreement without our prior written consent • Any attempted assignment without consent is void • Your rights and obligations personal to you
OUR RIGHTS: • We may assign this Agreement to:
- Parent, subsidiary, or affiliate companies
- Successor entity in merger or acquisition
- Purchaser of substantially all our assets • We provide notice of assignment • Assignment does not diminish your rights under this Agreement
18.5 Force Majeure
Neither party is liable for failure or delay in performance due to events beyond reasonable control, including:
COVERED EVENTS: • Natural disasters (earthquakes, floods, fires, pandemics) • War, terrorism, or civil unrest • Government actions, laws, or regulations • Labor strikes or disputes • Internet or telecommunications failures • Power outages or utility failures • Acts of God
OBLIGATIONS: • Affected party must notify other party promptly • Affected party must use reasonable efforts to mitigate impact • Performance obligations suspended during force majeure • If event continues beyond 90 days, either party may terminate
18.6 Relationship of Parties
INDEPENDENT CONTRACTORS: • Parties are independent contractors • No partnership, joint venture, or agency relationship created • Neither party has authority to bind or obligate the other • No fiduciary relationship exists
18.7 No Third-Party Beneficiaries
This Agreement is solely for benefit of parties. No third party has any right to enforce or benefit from any provision, except: • Our affiliates and service providers (for indemnification) • Permitted successors and assigns
18.8 Language
OFFICIAL VERSION: • This Agreement drafted in English • English version controls in case of translation conflicts • All communications and notices in English
